Dell Technologies Partner Logo and Trademark Usage Terms

Dell Technologies Partner Program logos are available for download on the Partner Portal and Program Tracker.

Partners in good standing in the Dell Technologies Partner Program (each a “Licensee”) shall be granted a limited, non-transferable, non-assignable, non-sublicensable, non-exclusive, and revocable license to use one of the following logos, as applicable based upon the Partner’s tier level or status (as described below) and in accordance with these Dell Technologies Partner Logo and Trademark Usage Terms (“Usage Terms”): “Dell Technologies Partner-Authorized”, “Dell Technologies Partner-Gold”, “Dell Technologies Partner-Platinum”, “Dell Technologies Partner-Titanium”, “Dell Technologies Partner-Titanium Black”, “Dell Technologies Authorized Distributor” or “Dell Technologies Authorized Systems Integrator” (as applicable, referred to as the “Logo”).

Authorized Partners:

In accordance with the terms and conditions set forth herein, a Licensee that is an Authorized Partner may use the “Dell Technologies Partner-Authorized” Logo on its stationery (including e-mail signatures), and its website, and may also use such Logo in connection with the advertising and marketing of Dell products and services. Additionally, and subject to the terms and conditions set forth below, if the Dell Technologies Partner Program provides advertising and marketing materials to Licensee under the Dell Technologies Partner Program, and such materials contain the “Dell”, “Dell EMC”, “Dell Technologies” or any other Dell Technologies logo, then a Licensee that is an Authorized Partner may use the Logo in connection with such materials to advertise and market Dell products and services.

Gold Partners:

In accordance with the terms and conditions set forth herein, a Licensee that is a Gold Partner may use the “Dell Technologies Partner-Gold” Logo on its stationery (including e-mail signatures), and its website, and may also use such Logo in connection with the advertising and marketing of Dell products and services. Additionally, and subject to the terms and conditions set forth below, if the Dell Technologies Partner Program provides advertising and marketing materials to Licensee under the Dell Technologies Partner Program, and such materials contain the “Dell”, “Dell EMC”, “Dell Technologies” or any other Dell Technologies logo, then a Licensee that is a Gold Partner may use the Logo in connection with such materials to advertise and market Dell products and services.

Platinum Partners:

In accordance with the terms and conditions set forth herein, a Licensee that is a Platinum Partner may use the “Dell Technologies Partner-Platinum” Logo on its stationery (including e-mail signatures), and its website, and may also use such Logo in connection with the advertising and marketing of Dell products and services. Additionally, and subject to the terms and conditions set forth below, if the Dell Technologies Partner Program provides advertising and marketing materials to Licensee under the Dell Technologies Partner Program, and such materials contain the “Dell”, “Dell EMC”, “Dell Technologies” or any other Dell Technologies logo, then a Licensee that is a Platinum Partner may use the Logo in connection with such materials to advertise and market Dell products and services.

Titanium Partners:

In accordance with the terms and conditions set forth herein, a Licensee that is a Titanium Partner may use the “Dell Technologies Partner-Titanium” Logo on its stationery (including e-mail signatures), and its website, and may also use such Logo in connection with the advertising and marketing of Dell products and services. Additionally, and subject to the terms and conditions set forth below, if the Dell Technologies Partner Program provides advertising and marketing materials to Licensee under the Dell Technologies Partner Program, and such materials contain the “Dell”, “Dell EMC”, “Dell Technologies” or any other Dell Technologies logo, then a Licensee that is a Titanium Partner may use the Logo in connection with such materials to advertise and market Dell products and services.

Titanium Black Partners:

In accordance with the terms and conditions set forth herein, a Licensee that is a Titanium Black Partner may use the “Dell Technologies Partner-Titanium Black” Logo on its stationery (including e-mail signatures), and its website, and may also use such Logo in connection with the advertising and marketing of Dell products and services. Additionally, and subject to the terms and conditions set forth below, if the Dell Technologies Partner Program provides advertising and marketing materials to Licensee under the Dell Technologies Partner Program, and such materials contain the “Dell”, “Dell EMC”, “Dell Technologies” or any other Dell Technologies logo, then a Licensee that is a Titanium Black Partner may use the Logo in connection with such materials to advertise and market Dell products and services.

Authorized Distributors:

In accordance with the terms and conditions set forth herein, a Licensee that is a Distributor may use the “Dell Technologies Authorized Distributor” Logo on its stationery (including e-mail signatures), and its website, and may also use such Logo in connection with the advertising and marketing of Dell products and services. Additionally, and subject to the terms and conditions set forth below, if the Dell Technologies Partner Program provides advertising and marketing materials to Licensee under the Dell Technologies Partner Program, and such materials contain the “Dell”, “Dell EMC”, “Dell Technologies” or any other Dell Technologies logo, then a Licensee that is a Distributor may use the Logo in connection with such materials to advertise and market Dell products and services.

Authorized Systems Integrators:

In accordance with the terms and conditions set forth herein, a Licensee that is a Authorized Systems Integrator may use the “Dell Technologies Systems Integrator” Logo on its stationery (including e-mail signatures), and its website, and may also use such Logo in connection with the advertising and marketing of Dell products and services. Additionally, and subject to the terms and conditions set forth below, if the Dell Technologies Partner Program provides advertising and marketing materials to Licensee under the Dell Technologies Partner Program, and such materials contain the “Dell”, “Dell EMC”, “Dell Technologies” or any other Dell Technologies logo, then a Licensee that is a Systems Integrator may use the Logo in connection with such materials to advertise and market Dell products and services.

The download and use of the Logo is conditioned upon the following:

1. Licensee may not use the Logo or any other Dell Technologies Partner Program logo obtained from any source other than the Dell Technologies Partner Program, and shall not modify or alter the Logo in any way. Licensee may only use the Logo in strict accordance with the standards and requirements in the Dell Technologies Partner Brand Guide. The Dell Technologies Partner Program team reserves the right to modify these standards and requirements from time to time.
2. Licensee shall not use the Logo in connection with any activity (a) that is unlawful, libelous, defamatory, or obscene, (b) that disparages any Dell products or services (as determined solely by Dell Inc.), (c) that Dell, in its sole discretion, considers likely to tarnish the Logo or any other trademark owned by Dell, or (d) that in any way infringes the intellectual property or other rights of any person or entity.
3. Licensee shall not use the Logo in any manner that is likely to create the impression that Licensee is a legal partner, affiliate, or franchisee of Dell Inc. or any “Dell Affiliate” (which means any Dell Inc. direct or indirect subsidiary) or is otherwise related to Dell Inc. or a Dell Affiliate. Licensee will clearly and prominently identify itself in its offers, advertising, marketing, promotional materials, and on its stationery (including e-mail signatures), and its website.
4. Licensee agrees to use the Logo only in connection with its business and solely to advertise and promote Dell products and services. Licensee shall not use or display the Logo on its invoices, bills, or shipping memos.
5. Licensee acknowledges that Dell Inc. owns all rights in and to the Logo, and agrees that it will not contest the validity of Dell Inc.’s rights, either during or after the license term. If, at any time, Licensee acquires any rights in, or trademark registrations or applications for the Logo or any of the Dell Inc. trademarks or domain names by operation of law or otherwise, Licensee will immediately and, at no expense to Dell Inc., assign such rights, registration or applications to Dell Inc., along with any and all associated goodwill. Licensee will indemnify and hold Dell Inc. and Dell Affiliate harmless against any and all claims, actions, or demands relating to its business activities or the use of the Logo in connection with such activities or otherwise.
6. Dell Inc. and Dell Affiliate may immediately suspend or terminate Licensee’s right to use the Logo for violation of any of these terms and conditions, or any terms and conditions governing Licensee’s participation in the Dell Technologies Partner Program or provision of Dell products or services, or for any other reason that Dell Inc. or Dell Affiliate deems appropriate. Upon such suspension or termination, Licensee shall immediately cease use of the Logo or any similar mark, name, or logo, including, without limitation, any name or mark containing the term “Dell Technologies,” “Dell” or “Dell EMC.”
7. Licensee may not use the Logo in any manner, and Dell Inc. and Dell Affiliate grants Licensee no rights, except as expressly set forth herein. In addition, Licensee may not use any other Dell Inc. or Dell Affiliate logo, trademark, or intellectual property. Dell Inc. and Dell Affiliate may periodically audit Licensee to verify compliance of logo usage and may determine during audit that if Licensee has not met the requirements of this agreement, Licensee shall be notified of noncompliance, at which time Licensee will immediately cease the use of the logo until the situation has been remedied.
8. Licensee recognizes and acknowledges that its breach of these terms and conditions will cause Dell Inc. and Dell Affiliate irreparable harm for which monetary damages will be inadequate. Licensee agrees that Dell Inc. and Dell Affiliate shall be entitled to an injunction to restrain Licensee from such breach or threatened breach. Nothing in this section shall be construed as preventing Dell Inc. and Dell Affiliate from pursuing any remedy at law or in equity for any breach or threatened breach of these terms and conditions.
9. Licensee agrees that trademarks, service marks, trade or company names, product and service identifications, internet domains/internet addresses, logos, artwork and other symbols and devices associated with Dell Inc., Dell Affiliate, their Affiliates, and Dell products and services (the “Dell Marks”) are and shall remain Dell Inc.’s property. Without limiting the foregoing, Licensee will not file any trademark applications or attempt to register a trademark containing the Dell Marks and, except as set forth in the Dell Technologies Partner Program Agreement, Licensee will not use the Dell Marks in search engine advertising, either as a keyword or in advertisements appearing on search engines or in email addresses, without Dell Inc.’s prior written permission. Additionally, Licensee may not register or use any domain name or business name containing or confusingly similar to any Dell Marks. Licensee will not incorporate the Logo or any other Dell Inc. trademark into Licensee’s product names, service names, company names, domain names, or any other similar designations. Licensee’s use of the Logo inures to the sole benefit of Dell Inc.
10. Dell Inc. reserves the right to modify these terms and conditions at any time without prior notice.
